Welcome to Agentix! By using our services, you agree to these Terms of Service (the "Agreement"), which govern your access and use of Agentix's solutions for automating workflows, customer support, and engagement. Please review these terms carefully before proceeding. This Agreement is between Agentix, LLC. ("Agentix") and you or the entity you represent ("Customer"). By accepting these terms, you confirm your authority to bind your organization to this Agreement.
1. Overview of Services
Agentix offers cloud-based solutions tailored to assist businesses in optimizing customer relationships through lead generation, customer support, knowledge management, and workflow automation. (the "Service"). As a Customer, you are responsible for managing your account and ensuring authorized use of the Service by designated team members ("Users"). User Submissions refer to any content or data uploaded or generated within the Service. You retain ownership of your data but grant us the necessary rights to deliver and support the Service effectively.
2. Subscriptions and Access
2.1 Subscriptions: Services are offered on a subscription basis ("Subscription"). Details about subscription plans, duration, and associated fees ("Fees") are outlined in your order agreement or user portal.
2.2 Authorized Use: Subscriptions are restricted to your internal business purposes. Sharing access outside your organization is prohibited without prior approval.
2.3 Updates and Availability: Agentix continuously improves its Service and may implement updates. We strive to minimize disruptions and inform you of significant changes in advance.
3. Usage Guidelines
3.1 Compliance: Customers and Users must comply with applicable laws and these terms while using the Service.
3.2 Prohibited Activities: Actions such as reverse engineering, unauthorized access, reselling the Service, or attempts to disrupt its integrity are strictly forbidden. Violations may lead to account suspension or termination.
4. Fees and Payments
4.1 Payment Terms: All payments must be made per the terms specified in your subscription plan. Failure to pay may result in service suspension.
4.2 Taxes: Fees exclude taxes. Customers are responsible for applicable taxes unless valid exemption documentation is provided.
4.3 Adjustments: Agentix reserves the right to modify fees with at least 30 days' prior notice for renewed subscriptions.
4.4 Refund Policy: All payments made to Agentix are non-refundable. By subscribing to our Service, you acknowledge and agree that Agentix does not offer refunds or credits for partial subscription periods, unused services, or account downgrades. This policy applies regardless of the reason for termination or discontinuation of the Service. Exceptions, if any, are solely at Agentix's discretion.
5. Third-Party Integrations
The Service may connect with third-party applications to enhance functionality. Agentix is not responsible for the reliability or security of third-party services. You are solely responsible for ensuring compliance with their terms.
6. Data and Privacy
6.1 User Information: We collect and process limited User Information to provide the Service. Our Privacy Policy details how we handle your data.
6.2 Data Security: Agentix employs industry-standard security measures to safeguard Customer data but does not guarantee absolute protection.
6.3 Ownership: You retain ownership of your User Submissions. By using the Service, you grant Agentix a non-exclusive license to process and display your data solely to operate the Service.
7. Term and Termination
7.1 Agreement Term: The Agreement remains effective during your Subscription Period. At the end of the term, you may choose to renew or discontinue your subscription.
7.2 Termination: Either party may terminate for material breach with 30 days' notice. Upon termination, access to the Service will cease, and Customer data will be deleted upon request.
8. Warranty Disclaimer
The Service is provided "AS IS." To the fullest extent permitted by law, Agentix disclaims all warranties, including implied warranties of merchantability and fitness for a particular purpose.
9. Limitation of Liability
Agentix's liability is limited to the Fees paid during the 12 months preceding the claim. We are not responsible for indirect or consequential damages resulting from use of the Service.
10. Confidentiality
Both parties agree to maintain the confidentiality of non-public information disclosed under this Agreement. Exceptions include information that is public or independently developed.
11. General Provisions
11.1 Governing Law: This Agreement is governed by the laws of the State of Delaware, USA. Disputes shall be resolved in Delaware courts.
11.2 Modifications: Agentix reserves the right to amend these terms with 30 days' notice. Continued use of the Service after changes indicates acceptance.
11.3 Entire Agreement: This Agreement constitutes the entire understanding between the parties, superseding prior agreements.
